Signing up for The ProNIC Solutions Affiliate Program constitutes the acceptance of these terms and conditions in their latest form.

1. Joining the Affiliate Program
By filling out the affiliate signup form you automatically become an affiliate and are bound by the terms of this agreement. Your participation in the affiliate program is solely for this purpose: to legally advertise ProNIC Solutions' website to receive a commission on services purchased by your referred individuals.

2. US Residents Only
Affiliates must be legal residents of the United States and have a valid Tax ID (EIN) or Social Security number. Failure to provide a valid Tax ID or Social Security number will cause your account to be cancelled without further obligation by ProNIC Solutions.

3. Revocation of Affiliate Status
Your affiliate application and status in the program may be suspended or terminated for any of the following reasons:

• Inappropriate advertisements (False claims, misleading hyperlinks)
• Spamming (mass email, mass newsgroup posting, etc.)
• Advertising on sites containing/promoting illegal activities.
• Violation of intellectual property rights.

4. Affiliate Links
You may use graphic and text links both on your website and in emails. The site may also be advertised "offline" in classified ads, magazines, and newspapers. You may use the graphics and text provided to you by ProNIC Solutions, or you may create your own as long as they are deemed appropriate according to the conditions in set forth herein.

5. Affiliate Tracking
When a web surfer clicks through your affiliate link, a cookie is set in their browser that contains your affiliate code. Also, their IP address is tracked in a database along with your affiliate name. When this user decides to buy our services, the script will look for this cookie and/or try to match their IP address to identify the affiliate who will be awarded the commission. Visitors sent through your affiliate link may make a purchase later in time and the commission will still be awarded if the cookie is present in their browser and/or the are using the same IP address as the one logged in the database.

6. Terms of the agreement
These terms will begin upon signing up and will end when your affiliate account is terminated. The terms of this agreement may be modified by ProNIC Solutions at any time. If any modification to the terms is unacceptable to you, your only choice is to terminate your affiliate account. Your continuing participation in the program will constitute your acceptance of any change. You can cancel your affiliate account at any time. To cancel your affiliate account, please contact us via the help desk.

7. Commission Payments
Affiliates will be paid on the first of every month by check. Affiliates must provide accurate information including a valid address in order to receive monthly commission payments. Affiliates will be paid provided their accumulated earnings reach $25.00. If an affiliate's account does not reach the accumulated minimum, their earnings will be rolled over into the following month, until the minimum amount is reached.

8. Exclusions
ProNIC Solutions Affiliates only get paid commission on purchases made for ProNIC Solutions' Shared Web Hosting Services provided the referred individual remains a customer of ProNIC Solutions for at least 30 days and does not apply for ProNIC Solutions' money back guarantee. Domain name registration, reseller hosting and dedicated server purchases ARE NOT covered by the affiliate program.

9. Limitation of Liability
ProNIC Solutions will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, and any results of "intents of harm" to the program or our website. ProNIC Solutions does not make any expressed or implied warranties with respect to the affiliate program and/or products sold at this web site. ProNIC Solutions makes no claim that the operation of the affiliate program and our website will be error-free and will not be liable for any interruptions or errors.

10. Privacy:
ProNIC Solutions will not sell or disclose your information with anyone without your explicit consent. ProNIC Solutions cooperates with those attempting to minimize Internet abuse, and reserves the right to institute mechanisms as part of its efforts to reduce such abuse. ProNIC Solutions will not monitor or disclose your email messages unless required to do so by court order or law, however, ProNIC Solutions will cooperate with law enforcement authorities and will notify such authorities if it suspects illegal activities.

CUSTOMER AGREES TO HOLD ProNIC Solutions HARMLESS FROM ANY AND ALL DEMANDS, LIABILITIES, LOSSES, COSTS AND CLAIMS, INCLUDING REASONABLE ATTORNEY'S FEES ASSERTED AGAINST ProNIC Solutions, ITS AGENTS, ITS CUSTOMERS, OFFICERS AND EMPLOYEES, THAT MAY ARISE OR RESULT FROM ANY SERVICE PROVIDED OR PERFORMED OR AGREED TO BE PERFORMED OR ANY PRODUCT SOLD BY CUSTOMER, IT'S AGENTS, EMPLOYEES OR ASSIGNS. CUSTOMER AGREES TO HOLD HARMLESS ProNIC Solutions AGAINST LIABILITIES ARISING OUT OF; (1) ANY INJURY TO PERSON OR PROPERTY CAUSED BY ANY PRODUCTS SOLD OR OTHERWISE DISTRIBUTED IN CONNECTION WITH ProNIC Solutions' SERVERS; (2) ANY MATERIAL SUPPLIED BY CUSTOMER INFRINGING OR ALLEGEDLY INFRINGING ON THE PROPRIETARY RIGHTS OF A THIRD PARTY; ( 3) COPYRIGHT INFRINGEMENT AND (4) ANY DEFECTIVE PRODUCTS SOLD TO CUSTOMER FROM ProNIC Solutions' SERVERS.
